Terms and Conditions

Effective Date: June 1, 2026

These Terms and Conditions ("Terms") govern your access to and use of Motivez's mobile application, website, and related services (collectively, the "Service"), provided by Motivez Inc. ("Motivez," "we," "us," or "our"). Motivez is a social discovery and group planning app that lets users find nearby places, create and join group outings ("Motives"), coordinate via group chat with planning tools, and optionally purchase or sell tickets for paid events through Stripe. By using the Service, you agree to these Terms and our Privacy Policy.

1. Eligibility and Age Requirements

You must be at least 13 years old to use the Service. If you are under 13, you may not create an account or use the Service under any circumstances. We do not knowingly permit users under 13.

If you are between 13 and 17 (or under the age of majority where you live), you may use the Service only with the knowledge and permission of a parent or legal guardian. Your parent or guardian is responsible for your use of the Service, your compliance with these Terms, and any costs or liabilities arising from your use. The Service involves real-world meetups, location sharing, group coordination, and financial transactions — minors and their guardians should understand these features before using the Service.

By creating an account, you represent that you are at least 13 years old and, if under 18, that you have parental or guardian permission. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration and Security

You may register using email and password, or via Google or Apple OAuth. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at motivezapp@gmail.com if you suspect unauthorized access to your account. We may suspend or terminate your account if we reasonably believe security requires it.

You may only create one account per person. Creating multiple accounts to evade a suspension or ban is prohibited.

3. What the Service Does

Motivez provides tools to discover nearby places via Google Places integration, create and publish Motives (group events at real-world venues), invite and coordinate with friends, communicate via group chat (including polls, checklists, availability coordination, and budget tracking), and process payments for paid Motives via Stripe Connect. We may add, remove, or modify any feature at any time without liability to you.

4. User Content and Conduct

The Service lets you submit content including Motive details and photos, profile information, chat messages, media files, poll questions, checklist items, and budget entries (collectively, "User Content"). You retain ownership of your User Content. By submitting it, you grant Motivez a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, distribute, and adapt your User Content as necessary to operate, provide, and improve the Service, and to make it available to other users as directed by your privacy settings.

You are solely responsible for your User Content. You agree not to post content or engage in conduct that:

  • Is illegal, harmful, threatening, harassing, hateful, discriminatory, or defamatory
  • Exploits, endangers, or solicits minors in any way
  • Impersonates any person or entity
  • Infringes any intellectual property, privacy, or other rights
  • Contains spam, phishing, or deceptive content
  • Includes malware, viruses, or malicious code
  • Facilitates illegal real-world activity
  • Violates any applicable law or regulation

Motivez may remove User Content or suspend accounts that violate these Terms, at our sole discretion, without prior notice. We do not guarantee we will review all content.

5. Location Services

The Service relies on your device's precise GPS location to show nearby places and Motives, power the discovery feed, and support Motive creation. When you use the discovery features, your coordinates are sent to our backend and to Google Places API. Location coordinates for Motives you create are stored permanently in our database. You control location access through your iOS Settings. Disabling location will prevent discovery and Motive creation features from working. 6. Motives, Real-World Meetups, and User Interactions

Motivez is a coordination platform. Motivez is not an event organizer, venue operator, or service provider. We do not organize, host, supervise, or guarantee any Motive. Motives are created and managed entirely by users.

You attend Motives and interact with other users entirely at your own risk. Motivez does not verify the identity, background, age, intentions, or behavior of any user. We do not guarantee that a Motive will occur as described, that venues will be as listed, that other users will attend, or that any experience will meet your expectations.

You are responsible for your own safety. Take reasonable precautions: meet in public places when appropriate, inform trusted contacts of your plans, and comply with venue rules and applicable laws. Do not share sensitive personal details (home address, financial information, etc.) with people you do not know and trust.

Motivez is not responsible for injuries, disputes, losses, or damages arising from Motives or user interactions, including interactions that begin on the platform and continue offline.

7. Payments, Tickets, and Stripe Connect

For attendees. If a Motive requires payment, you must complete a Stripe-powered payment to join. The ticket price is set by the host. Motivez charges a platform fee (the greater of CAD $1.00 or 5% of the ticket price) plus Stripe's standard processing fees (2.9% + CAD $0.30), which are shown at checkout before you pay. Payments are in Canadian dollars. By completing a payment, you authorize the charge and agree to Stripe's terms of service.

Refunds. Refund eligibility is determined by the host's stated refund policy at the time of purchase. Motivez does not guarantee refunds unless the host explicitly offers them or applicable law requires otherwise. If a Motive is cancelled by the host, contact us at motivezapp@gmail.com and we will work to facilitate a refund where possible.

For hosts. To receive payments for a paid Motive, you must complete Stripe Connect onboarding, which includes providing identity and banking information directly to Stripe. Motivez does not store this information. By creating a paid Motive, you agree to Stripe's Connected Account Agreement. Payouts are processed by Stripe after the platform fee is deducted. Motivez is not responsible for delays or failures in Stripe payouts.

Taxes. You are responsible for any taxes applicable to your transactions, including GST/HST for Canadian hosts. Motivez does not collect or remit taxes on behalf of hosts or attendees.

No payment card storage. Motivez does not store your credit or debit card details. All payment information is handled directly by Stripe, which is PCI DSS compliant.

8. Group Chat and Planning Tools

Group chats are linked to Motives and persist in our database. Messages, media, polls, checklists, availability responses, and budget entries are stored on our servers and are not end-to-end encrypted. Do not share sensitive personal or financial information in group chats. Motivez may access chat content for safety investigation, legal compliance, or abuse prevention. Group chat content is visible to all chat members.

9. Prohibited Uses

You may not:

  • Attempt to access non-public areas of the Service or our infrastructure
  • Reverse engineer, decompile, or extract source code from the app (except where permitted by law)
  • Scrape, harvest, or systematically collect data from the Service without our written permission
  • Use automated bots, scripts, or tools to interact with the Service
  • Send excessive API requests that interfere with Service performance
  • Bypass, circumvent, or attempt to defeat any rate limiting, authentication, or security measure
  • Use the Service to coordinate illegal activity, harass others, or facilitate harm
  • Create fake Motives, fake profiles, or mislead other users
  • Use the Service to contact minors for inappropriate purposes
  • Create multiple accounts to evade a suspension or termination

10. Third-Party Services

The Service integrates with Google Places (place discovery), Stripe (payments), Apple and Google (OAuth sign-in), and Expo (push notifications). Your use of these services is governed by their own terms and privacy policies. Motivez is not responsible for the conduct, availability, or practices of any third-party service.

11. Intellectual Property

The Motivez name, logo, app design, and all original content (excluding User Content) are owned by Motivez or its licensors and protected by intellectual property law. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, or create derivative works from Motivez's proprietary content without our written permission.

12. Privacy

Your use of the Service is subject to our Privacy Policy, incorporated by reference. The Privacy Policy explains in detail what data we collect (including precise location, messages stored indefinitely and not encrypted, photos, and payment identifiers), how we use and store it, your rights, and how we handle children's data.

13. Termination and Suspension

You may stop using the Service at any time and request account deletion by emailing motivezapp@gmail.com. Motivez may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, created legal risk or harm to users, or for operational or legal reasons. Upon termination, your right to use the Service ends. Sections 4 (User Content license), 6 (Motive liability), 7 (Payments), 10 (Third-Party), 11 (IP), 16 (Disclaimers), 17 (Liability), 18 (Indemnification), and 19 (Governing Law) survive termination.

14. Force Majeure

Motivez is not liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemic, war, terrorism, riots, government action, power or internet outages, failures of third-party infrastructure providers (including Supabase, Railway, Expo, Stripe, or Google), cyberattacks, or any other event outside our reasonable control. If such an event occurs, our obligations are suspended for the duration of the event, and we will use reasonable efforts to resume normal operation as quickly as possible.

Motivez respects intellectual property rights and complies with the Copyright Act (Canada). If you believe content on the Service infringes your copyright, send a written notice to motivezapp@gmail.com including: (1) identification of the copyrighted work you believe has been infringed; (2) identification of the allegedly infringing material and where it appears in the Service; (3) your name and contact information; and (4) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law. We will investigate and respond to valid notices promptly, and may remove or restrict access to the content in question. If you believe content was removed in error, you may submit a counter-notice to the same address explaining why.

16. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, Motivez disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that Motives or place data will be accurate, or that the Service will meet your expectations. We specifically disclaim any responsibility for the safety of real-world meetups, the conduct of other users, or the accuracy of third-party place data from Google.

17. Limitation of Liability

To the maximum extent permitted by law, Motivez and its affiliates, officers, directors, employees, agents, and service providers will not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, personal injury, or property damage — arising from your use of the Service, your participation in any Motive, your interactions with other users, or any third-party conduct, even if we have been advised of the possibility of such damages.

Motivez's total aggregate liability for all claims arising from or related to the Service will not exceed CAD $100 or the total amount you paid to Motivez in the twelve (12) months preceding the claim, whichever is greater.

Some jurisdictions do not allow certain liability limitations; in such cases, the limitations above apply to the fullest extent permitted by law.

18. Indemnification

You agree to defend, indemnify, and hold harmless Motivez and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: your User Content; your use of the Service; your attendance at or organization of any Motive; your interactions with other users or third parties; or your violation of these Terms or applicable law.

19. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be resolved exclusively in the courts of Toronto, Ontario, and you consent to the personal jurisdiction of those courts, except as described below.

Optional arbitration. As an alternative to court proceedings, either party may elect to resolve a dispute through binding individual arbitration administered under the rules of the ADR Institute of Canada, in accordance with its National Arbitration Rules, with proceedings conducted in Toronto, Ontario in English. Class actions and class arbitrations are not permitted. To opt out of arbitration and keep disputes in court, send written notice to motivezapp@gmail.com within 30 days of first accepting these Terms (or within 30 days of any material update to this arbitration provision, if you previously accepted these Terms without this provision). If you do not opt out within that window, you waive the right to litigate disputes covered by this provision. Nothing in this section limits rights that cannot be waived under applicable law, including rights under Ontario's Consumer Protection Act or applicable provincial consumer protection legislation.

20. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or by email. The Effective Date at the top reflects the most recent update. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
